Terms of Service

1. Legal Notices
Koterie is owned and operated by Koterie Studio EURL, a French limited liability company (EURL) with a share capital of €250, registered with the Paris Trade and Companies Register (RCS Paris) under number 990 026 346, operating under the trade name “Koterie.”

The website (https://koterie.club) and related services (the “Platform”) are owned and published by Koterie Studio EURL. Koterie provides curated gatherings, events, and digital community features (the “Services”).
2. Definitions
“Client,” “you,” or “your” refers to any user of the Services. “Event(s)” includes dinners, mixers, salons, movement/culture events, and Petit Tablées.
3. General Principles
- These Terms & Conditions (the “General Terms”) form the sole agreement between Koterie and the Client.
- The original version is in French; in case of conflict, the French version prevails.
- The General Terms are accessible at any time via the “Terms” link in the footer of the Platform (currently available at /terms).
- By creating an account or purchasing a ticket, you agree to these General Terms; otherwise, you may not use the Services.
- Additional conditions (e.g., event-specific rules or subscription terms) may supplement these General Terms and prevail in case of conflict.
- Failure by Koterie to exercise a right is not a waiver.
4. Changes to the Terms
We may modify these General Terms for legitimate reasons (legal, security, feature updates). Changes are prospective and will be notified on the Platform and/or by email. Continued use after the effective date constitutes acceptance.
5. Alignment with Third-Party Terms
- If you access the Platform via a third-party provider (e.g., Apple App Store or Google Play) (a “Third Party”), the Third Party’s terms prevail in case of conflict.
- The Third Party is not a party to these General Terms and has no maintenance/support obligations.
- Koterie is solely responsible for warranties and handling claims relating to the Platform.
- Koterie is not responsible for goods/services provided by Third Parties.
6. Access to Services (Eligibility)
By using the Services, you represent and warrant that you:
- are an individual (not a company/legal entity);
- identify as a woman (Koterie is a community designed by and for women, and our events and platform are intended exclusively for women);
- are 18+ or of legal age to contract in your country of residence;
- act as a consumer (not in a professional/commercial capacity);
- have the legal capacity to contract;
- are not prohibited by law from using the Services;
- have not committed/been convicted of serious, violent, or sexual offenses posing a risk to users;
- have not been previously banned unless expressly authorized in writing by Koterie.
If you cease to meet these criteria, access may be revoked and your account deleted without notice.
7. Description of Services (No Guarantees)
- Koterie curates events and community features to foster meaningful connections.
- Koterie does not guarantee: (i) a minimum number of attendees; (ii) specific demographics; (iii) compatibility; or (iv) only-new participants at each event (you may meet previous attendees again).
8. Ticket Purchase & Events
- Purchase & Confirmation: Tickets must be purchased in advance and are non-transferable. A confirmation email follows successful purchase.
- Refunds & Cancellations: Governed by Koterie’s Refund & Cancellation Policy (separate page). No-shows are not eligible for refunds.
- Event Changes / Cancellations by Koterie: We may modify event details (date/time/location) with notice. We may cancel/refuse a ticket if a guest’s intent/behavior conflicts with our values (e.g., competitive motives, disruptive conduct). If Koterie cancels an event, a full refund is offered.
- Attendance Rules: Tickets are individual; you agree to attend alone. Unregistered guests (including Koterie members) may not accompany you.
- Allergies & Dietary: Koterie is not liable for allergies/dietary issues. You must notify the venue directly after receiving event details.
9. Subscriptions & Koterie Insider
- Overview: Koterie Insider (“Insider”) is a paid subscription offering benefits that may include Insider-only events, early booking, fixed event discounts, ability to host/lead meet-ups, full profiles & messaging, and partner perks. The benefits are listed on the Platform and may evolve.
- Pricing & Payment: Prices are displayed in the stated currency; payment is due in advance for the chosen term (monthly/yearly). Payments are processed by third-party providers; Koterie does not store payment details. Promotions apply only during their validity period and are not retroactive.
- Auto-Renewal & Cancellation: Subscriptions renew automatically unless canceled before renewal in your account settings. Cancellation takes effect at the end of the current billing period; no partial/prorated refunds.
- Loi Chatel (Annual Subscriptions): For annual terms, we will send a renewal reminder at least 3 months and not less than 1 month before the renewal date, per French law.
- Founding Members: “Lifetime” rates (if expressly offered) remain valid only while the subscription stays continuously active. If canceled/lapses, the discounted rate ends; future subscriptions use the standard price.
- Changes / Termination: We may modify/suspend elements of Insider with reasonable notice; you may cancel if you disagree. We may terminate without refund for breach or harmful behavior; outstanding sums remain due.
10. Petit Tablées
- Costs: Petit Tablées are member-hosted. Each attendee (including the host) pays their own restaurant bill. A small participation fee is paid through the Platform to confirm a spot (separate from the restaurant bill) to reduce no-shows.
- Reservation & Deposits: The host makes the restaurant booking. If a deposit or card on file is required, the host covers it. Koterie is not liable for losses due to no-shows/cancellations/restaurant charges.
- Proof of Booking: Hosts must upload proof of reservation (screenshot or confirmation email) when submitting a Petit Tablée.
- Cancellations: If the host cannot attend, they must notify Koterie as soon as possible so the reservation can be canceled or attendees informed.
- Purpose & Conduct: Petit Tablées are connection-first; self-promotion, pitching, or selling is not allowed. Repeated no-shows or misuse may result in loss of hosting privileges and/or suspension.
11. Platform Use, Messaging & Moderation
- Private Chat is provided for past event participants; use respectfully—no harassment, spam, or misuse.
- Content Responsibility: Users are responsible for their content. As a hosting provider, Koterie is not liable for user-generated content but will act promptly to remove illegal content upon notification.
- Notice Procedure: Report illegal content to contact@koterie.club with description, URL/screenshot, basis for illegality, and your contact details.
- We may moderate, restrict, or remove content or accounts that violate these Terms or the law.
12. Intellectual Property
- The Platform, brand name Koterie, logos, visuals, and content are protected and remain the property of Koterie or its licensors.
- You receive a limited, personal, non-transferable license to use the Platform for private, non-commercial purposes.
- No reproduction/modification/distribution without prior written consent.
- By posting content, you grant Koterie a non-exclusive, worldwide, royalty-free license to host, display, and technically reproduce such content to operate the Services.
13. Attendee Responsibilities
Provide accurate contact details when booking and comply with event guidelines issued by Koterie or venues.
14. Conduct, Respect & Event Etiquette
Be respectful toward guests, staff, and hosts. Harassment, discrimination, or disruptive conduct may lead to removal without refund and account sanctions. Participate in a way that fosters an inclusive, enjoyable atmosphere.
15. Alcohol
- Guests must be 18+ (or meet local legal drinking age). Proof of age may be required.
- Koterie may refuse alcohol service to intoxicated guests.
- Koterie is not liable for incidents related to alcohol consumption.
16. Photography & Recording
By attending, you consent to being photographed/filmed for Koterie’s promotional use. Personal photos are allowed with respect for others’ privacy. To request takedown/removal where reasonably possible, email contact@koterie.club.
17. Liability & Risk
- Participation is at your own risk; safeguard your property.
- Koterie is not responsible for loss/damage to personal property.
- To the maximum extent permitted by law, Koterie excludes indirect damages (loss of opportunity, reputation, etc.).
- Koterie’s total liability is limited to direct damages and shall not exceed the total sums paid by you to Koterie in the 12 months preceding the claim.
- Restaurants/venues are independent; Koterie is not responsible for meals, drinks, or venue services.
18. Force Majeure
Per Article 1218 of the French Civil Code, Koterie is not liable for delays/non-performance caused by force majeure (e.g., natural disasters, strikes, pandemics). Obligations are suspended during the event and resume within a reasonable time after it ends.
19. Financial Terms
- Prices are in euros and include applicable taxes (TTC) unless stated otherwise.
- Promotions apply only during their validity period.
- Payment methods depend on channel (website/app/third-party).
- Subscriptions renew automatically unless canceled (see §9).
20. Data Protection
Koterie processes personal data in accordance with the GDPR and French data protection law. Details are in the Privacy Policy, which forms an integral part of these Terms.
21. Prohibited Activities & Content Restrictions
- Misrepresent identity/age/affiliations; use another user’s account.
- Solicit personal/financial/sensitive data.
- Promote third-party services or run unauthorized commercial activity.
- Post offensive, defamatory, misleading, illegal, pornographic, racist, or discriminatory content.
- Share unauthorized depictions (including of minors).
- Upload malware/viruses.
- Harm Koterie’s reputation, integrity, or systems.
22. Sanctions
Violation of these Terms may result in warning, temporary suspension, loss of hosting privileges, removal from events, and/or permanent termination of Platform access, without refund.
23. Withdrawal Right (Events)
Under Article L221-28 of the French Consumer Code, the statutory right of withdrawal does not apply to leisure services provided on a specific date/period (event tickets). Tickets are non-refundable and non-exchangeable except as expressly provided in our Refund & Cancellation Policy.
24. Consumer Mediation & EU ODR
If you submit a written complaint and receive no satisfactory response within 60 days, you may refer the dispute free of charge to a consumer mediator (details provided on request at contact@koterie.club).

25. Applicable Law & Jurisdiction
These General Terms are governed by French law. Failing amicable resolution, disputes fall under the exclusive jurisdiction of the courts of Paris, subject to mandatory consumer protection rules.
26. Communications & Notices
We will contact you via the email linked to your account. Legal notices to Koterie should be sent to contact@koterie.club (and, where applicable, by registered letter to the registered office).
27. Assignment
You may not assign or transfer your rights/obligations under these Terms without Koterie’s prior written consent. Koterie may assign its rights/obligations in connection with reorganization, merger, or transfer of activity.
28. Severability, No Waiver, Entire Agreement
If any provision is invalid or unenforceable, the remainder remains in full force. No waiver shall be implied by delay or omission. These Terms (with any applicable additional conditions and the Privacy Policy) constitute the entire agreement between you and Koterie.
